Terms of Service

Draft of October 13, 2026

These terms apply when you book an event with HeySparko. Booking an event means you accept them. They do not replace the terms of a signed order form or contract: where this page and a signed agreement disagree, the signed agreement wins.

1. Who we are

HeySparko is a product of Coffee Box Solutions, Inc., a corporation organised under the laws of the State of Florida, United States, with its principal place of business at 17145 N Bay Rd, Sunny Isles Beach, FL 33160. In these terms “we”, “us” and “HeySparko” mean Coffee Box Solutions, Inc., and “you” means the company or organisation booking the event. You can reach us at hello@heysparko.com.

2. What you are buying

You are buying one event, not a subscription and not a per-seat licence. The base price covers the game session, a custom landing page with your branding, a live host for a Big Game or self-onboarding for a Marathon, in-game chat, and the post-event analytics with CSV export. Customization is priced separately and is listed on the pricing page.

3. Pricing and group size

Prices are per event and follow published tiers by group size. The smallest tier covers up to 15 players. Small overages are absorbed within the booked tier. If your group passes the tier before the event, we move you to the next tier and charge the prorated difference. If fewer people attend than you booked for, the price does not change: you are paying for the event, not for seats.

4. Payment

You can pay by card at the time of booking. We can issue an invoice instead, which adds a few days to the lead time. Invoices are payable within the period stated on them, and in any case before the event runs: we confirm a date once payment has cleared or an approved purchase order is in place. Custom quotes for 1,000 or more players or for multi-event packages are prepared separately and may carry their own payment schedule. Card payments are processed by our payment provider; we do not store card details.

5. Lead times

Three business days for a live game, two for a Marathon, and ten business days when the booking includes customization. Shorter notice is sometimes possible; ask before you count on it.

6. Refunds and rescheduling

Full refund up to 7 days before the event. Within 7 days of the event, we reschedule free of charge to any future date. Where a booking includes customization, the customization portion may be non-refundable once production has started.

7. Customization and licence

Material we build for you, such as a branded skin, your people in the game or a custom story, is produced for your event. A custom trivia deck is licensed for 12 months by default so you can re-run it for new cohorts or regional offices; longer terms are available. The underlying platform, game engine and catalog remain ours.

8. Your content and your people

You keep ownership of logos, names, images and any material you send us for a custom build, and you confirm you have the right to use them. We use them only to deliver your event unless you tell us in writing that we may show them publicly.

9. Event data

After the event we provide participation data by team and by player, time spent per stage, survey results and a CSV export. Personal data is handled as described in our Privacy Policy.

10. What we need from you

Players need a modern browser and roughly 3 Mbps each. A Big Game also runs a Zoom call alongside the browser. We cannot guarantee the experience on networks or devices that block either.

11. Acceptable use

Do not resell access, reverse-engineer the platform, or use an event to harass anyone. We may end a session that is being used that way.

12. Warranties and liability

The service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law we disclaim all warranties that are not written into these terms, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability or error-free operation. We do not warrant that an event will achieve any particular engagement, retention, morale or business outcome.

Where a session fails for reasons on our side, your sole and exclusive remedy is that we re-run the event at no charge or refund the fees paid for it, at your choice.

Neither party is liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost goodwill, lost or corrupted data, or the cost of substitute services, even if advised that such damages were possible. Our total aggregate liability arising out of or relating to these terms or any event, whether in contract, tort, including negligence, or any other theory, will not exceed the fees you actually paid us for the single event giving rise to the claim.

These limits do not apply to your obligation to pay fees, to either party's liability for fraud, wilful misconduct or gross negligence, to your indemnity obligations below, or to anything that cannot be limited under applicable law. Each limit applies even if a remedy fails of its essential purpose.

Any claim arising out of or relating to these terms must be brought within one year after the claim arose, or it is permanently barred, except where a longer period is required by law.

13. Taxes

All prices are exclusive of taxes. You are responsible for all sales, use, excise, value added, goods and services and similar taxes and duties imposed on the purchase, other than taxes on our net income. Where we are required to collect such a tax, it is added to the invoice. Where you are a business established outside the United States, you are responsible for self-assessing any value added or equivalent tax under the reverse charge or similar mechanism in your jurisdiction, and for giving us a valid tax registration number on request. If any payment to us is subject to withholding tax, you will gross up the payment so that the amount we receive after the withholding equals the amount invoiced.

14. Your indemnity

You will defend, indemnify and hold harmless Coffee Box Solutions, Inc., its officers, employees and contractors against any third-party claim, and any resulting loss, damage, liability, settlement, cost and reasonable legal fee, arising out of material you supply for a custom build, your use of the service in breach of these terms, the conduct of your participants during an event, or your failure to obtain any consent required from your participants under applicable privacy or employment law.

15. Events outside our control

Neither party is liable for a failure or delay caused by something beyond its reasonable control, including an outage at a hosting, video-conferencing or payment provider, a failure of public internet infrastructure, a cyber attack, an act of government, civil unrest, strike, epidemic or natural disaster. If such an event prevents a session from running, we reschedule it to the next date that works for both of us; if no such date can be agreed within ninety days, we refund the fees paid for that event, and that refund is the full extent of our obligation.

16. Suspension and termination

We may suspend or end a session, or decline a future booking, if payment is overdue, if these terms are breached, or if a session is being used in a way that harms participants, our staff or the platform. Where the breach is yours, fees already paid are not refunded. Sections that by their nature should survive, including payment, taxes, warranties and liability, indemnity, governing law and dispute resolution, survive the end of these terms.

17. Changes to these terms

We may update these terms. The version in force for your booking is the one published on the day you book.

18. Governing law, arbitration and class-action waiver

These terms, and any dispute arising out of or relating to them or to any event, are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

The parties will first try to resolve any dispute informally, by writing to the other with the details of the claim and conferring in good faith for thirty days.

Any dispute that is not resolved that way will be settled by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, seated in Miami-Dade County, Florida, conducted in English. Judgment on the award may be entered in any court of competent jurisdiction. Each party bears its own legal fees unless the arbitrator decides otherwise.

Disputes are resolved on an individual basis only. To the fullest extent permitted by law, neither party may bring a claim as a plaintiff or class member in a class, collective, consolidated or representative proceeding, and the arbitrator may not consolidate claims or preside over any form of representative proceeding.

Either party may seek injunctive or other equitable relief in the state or federal courts located in Miami-Dade County, Florida, to protect its intellectual property or confidential information, and either party may bring an individual claim in small claims court. For those purposes both parties consent to the exclusive jurisdiction and venue of those courts and waive any objection based on inconvenient forum.
